    1. Acceptance of Terms

    By accessing or using the services provided by Automateley Pty Ltd ("Automateley", "we", "us", "our"), including our website, platform, AI agents, and related tools (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use our Services.

    If you are using the Services on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

    2. Our Services

    Automateley provides AI-powered automation agents designed for regulated industries including accounting, healthcare, property management, legal, and financial services. Our agents automate compliance-sensitive workflows such as deadline tracking, document preparation, client communications, and regulatory reporting.

    We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice. We will not be liable for any modification, suspension, or discontinuance.

    3. Accounts & Access

    To use certain features of the Services, you must create an account. You are responsible for:

    • Providing accurate and complete registration information
    • Maintaining the security of your account credentials
    • All activities that occur under your account
    • Notifying us immediately of any unauthorised use

    We may suspend or terminate your account if we reasonably believe you have violated these Terms.

    4. Your Data

    You retain all rights to the data, content, and information you submit to the Services ("Your Data"). By using the Services, you grant us a limited licence to use, process, and store Your Data solely to provide the Services to you.

    We will not use Your Data to train AI models, sell to third parties, or use for any purpose other than delivering and improving the Services as described in our Privacy Policy.

    5. Acceptable Use

    You agree not to:

    • Use the Services for any unlawful purpose or in violation of any applicable laws or regulations
    • Attempt to gain unauthorised access to any part of the Services or related systems
    • Interfere with or disrupt the integrity or performance of the Services
    • Reverse engineer, decompile, or disassemble any aspect of the Services
    • Use the Services to transmit malicious code or harmful content
    • Resell or redistribute the Services without our prior written consent

    6. AI-Powered Services

    Our Services use artificial intelligence to automate workflows and provide recommendations. While we strive for accuracy and reliability, AI outputs may occasionally contain errors or require human review.

    The Services are not a substitute for professional advice. You are responsible for reviewing AI-generated outputs and ensuring they meet your professional, legal, and regulatory obligations. Automateley is not liable for decisions made based on AI outputs without appropriate human oversight.

    7. Fees & Payment

    Certain Services may be subject to fees as described in the applicable pricing plan. All fees are quoted in Australian dollars unless otherwise stated. You agree to pay all applicable fees in accordance with the billing terms in effect at the time.

    We may change our fees upon reasonable notice. Continued use of the Services after a fee change constitutes acceptance of the new fees.

    8. Intellectual Property

    The Services, including all software, algorithms, designs, documentation, and content (excluding Your Data), are owned by Automateley and protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Services except for the limited right to use them in accordance with these Terms.

    9. Confidentiality

    Each party agrees to keep confidential all non-public information received from the other party that is designated as confidential or that reasonably should be understood to be confidential. This obligation does not apply to information that is publicly available, independently developed, or rightfully received from a third party.

    10. Limitation of Liability

    To the maximum extent permitted by law, Automateley shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising out of or related to your use of the Services.

    Our total aggregate liability for all claims arising out of or related to these Terms or the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

    11. Warranties & Disclaimers

    The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

    Nothing in these Terms excludes or limits any consumer guarantees or rights that cannot be excluded or limited under Australian Consumer Law.

    12. Indemnification

    You agree to indemnify, defend, and hold harmless Automateley, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Services or violation of these Terms.

    13. Termination

    Either party may terminate these Terms at any time with written notice. Upon termination, your right to use the Services will immediately cease. We will make Your Data available for export for a reasonable period following termination, after which it may be deleted.

    Sections relating to intellectual property, confidentiality, limitation of liability, indemnification, and governing law will survive termination.

    14. Governing Law

    These Terms are governed by and construed in accordance with the laws of Australia. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Australia.

    15. Changes to These Terms

    We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date. Your continued use of the Services after changes are posted constitutes acceptance of the revised Terms.
